OC Dev Co agrees to deliver the following specific items for Apex Wellness Clinic. Work outside this scope requires a written change order.

Total project value is $1,430.00, payable in two installments:
Accepted payment methods: Zelle, Venmo, PayPal, Check. Invoices unpaid after 14 days of the due date may incur a 5% late fee. Work may pause on accounts 7+ days overdue.
Each deliverable includes 2 rounds of revisions at no charge. A revision is defined as a change to the approved scope — not a new feature request. Revision requests must be submitted within 7 days of delivery.
Additional revision rounds beyond the included 2 are billed at $65/hr with a minimum 1-hour charge.
Upon receipt of final payment in full, the Client owns all deliverables created under this agreement, including form code, automation workflows, and any custom scripts. OC Dev Co retains no license to sell or repurpose these specific deliverables.
OC Dev Co retains the right to list this engagement as a portfolio reference (anonymized if requested) and to display work samples publicly.
30-Day Bug Fix Guarantee: If any delivered feature stops working due to a defect in the original build, OC Dev Co will fix it at no charge within 30 calendar days of delivery. This does not cover issues caused by third-party platform changes, client modifications, or features outside the agreed scope.
OC Dev Co's total liability under this agreement shall not exceed the total fees paid. OC Dev Co is not liable for indirect, incidental, or consequential damages including lost revenue or data loss. Client is responsible for complying with any industry-specific regulations (e.g., HIPAA) applicable to their business.
Either party may terminate this agreement with written notice. If Client terminates after work has begun, all hours worked to the termination date are billed at $65/hr. Any deposit paid is non-refundable once work has started. Completed deliverables are released to Client upon payment for work completed.
